Subject: computer auto shuts down in less than a minute

I just got a new motherboard...my old one was subject to an Intel recall so it sent me a new one.
with the new board, P3 600EB CPU, 128MB RDRAM (shipped with the board), my old video card, hard drive and floppy, I was able to boot the computer with Windows ME boot disk. successfully detected CPU,memory,and hard drive, but after a:> prompt displayed it always automatically shuts down in less than a minute.

I tried a different video card, boot without keyboard or mouse, or upgrade BIOS...all failed. Without any error or warning, computer always shuts down within a minute,

Any one experienced this issue? Any help is highly appreciated....I'm going desperate now...
