I assume your firm is amenable to: signing the consultant's contract, one clause of which is to 'hold harmless' the independent consultant; and paying the consultant's hourly rate that includes hours spent in acquainting the consultant with the product that is to be updated.
What is the discloser agreement that needs to be signed. Is it simply your firm's privacy agreement? I assume it does not in any way limit the consultant's ability to consult with any other companies, including possible competitors of your firm, as long as your inside information is not disclosed.
